The business terms for CleaningCentral subscriptions, customer workspaces and optional services.
Effective date: 2 November 2026 · HOSTAL PTY LTD · ABN 58 693 993 501 · contact@cleaningcentral.net
1. Agreement and business use
These Terms are an agreement between HOSTAL PTY LTD (ABN 58 693 993 501), trading as CleaningCentral (“CleaningCentral”, “we”, “us”) and the person or organisation accepting an order, activating a trial or using the service (“Customer”, “you”).
CleaningCentral is supplied for business use. The person accepting must be at least 18 and authorised to bind the Customer. If mandatory consumer or small-business protections apply despite that business purpose, these Terms do not exclude or limit those protections.
2. Contract documents and priority
The agreement consists of the accepted order or checkout, these Terms, the Privacy Policy, Acceptable Use Policy, Billing Policy and, where CleaningCentral processes customer content, the Data Processing Addendum. A signed order or specifically negotiated term prevails over these standard terms to the extent of a conflict. Product descriptions and screenshots are general information; the accepted order and released in-product entitlements determine the purchased service.
3. Regional availability
Self-service checkout launches in Australia, the United States, the United Kingdom and supported Eurozone countries. New Zealand and any country not shown in the live checkout remain controlled rollouts. A contact form, demonstration or regional price display does not promise availability.
The Customer’s order identifies its exact billing country, currency, taxes, plan, term and included features. Region-specific mandatory laws continue to apply where they cannot lawfully be excluded.
4. Trials and account activation
A new self-service trial in an available launch country, where offered, lasts 14 days from the exact activation time shown in the account and does not require a payment card. Existing accepted trial records keep their originally displayed deadline. One trial may be allowed per verified business or account unless we approve otherwise.
A trial can use released internal workflows with the Customer’s own business records. It cannot send customer email or SMS, authorise external integrations, publish a website, create provider-side records or incur provider usage. Those capabilities remain locked until payment is confirmed and then open only for the purchased plan and add-ons. CleaningCentral account verification, password reset, security, billing and trial notices may still be sent by the platform.
At the trial deadline, operational access ends. The Customer can sign in to account and billing screens and subscribe during a 30-day recovery period. For trials accepted on or after 2 November 2026, the workspace is frozen rather than locked during those 30 days: the owner can sign in, view and export the workspace records, while creating, sending and taking payments stay paused. Trials accepted before then keep the locked recovery period they accepted. A confirmed subscription unlocks the same workspace. If the Customer does not subscribe, workspace deletion begins on day 45 after activation, following the displayed warnings and deletion schedule. There is no automatic charge for a cardless trial.
5. Access, users and workspaces
The Customer controls authorised users and must assign appropriate roles, remove access promptly, maintain accurate account details and protect credentials. Accounts may not be shared between people unless the product expressly supports that use.
Each customer workspace is intended to be isolated. The Customer must not attempt to access another workspace, bypass permissions or use credentials belonging to another person. The Customer is responsible for activity by its authorised users, except to the extent caused by CleaningCentral’s breach.
6. The service and released features
CleaningCentral provides the released features included in the selected plan and active add-ons. The core service is offered as one complete monthly subscription with region-specific pricing. Later plans, AI, native app downloads and other unreleased items are not included merely because they appear in a preview, roadmap or demonstration.
We may improve or replace features. We will not materially reduce the core functionality of a paid plan during its current term without reasonable notice and an appropriate remedy where required by law. Third-party connections depend on the provider and may change or stop.
7. Customer content and instructions
The Customer retains ownership of its content. The Customer grants CleaningCentral the limited rights needed to host, copy, transmit, back up, secure and otherwise process that content to provide the service, follow documented instructions and meet legal obligations.
The Customer warrants that it has a lawful basis and all required notices, consents and permissions for customer content. CleaningCentral does not acquire ownership of customer content and does not use workspace content for unrelated advertising.
8. Privacy and data processing
Each party must comply with the privacy and data-protection laws that apply to it. The Privacy Policy describes CleaningCentral’s own handling. The Data Processing Addendum applies when CleaningCentral processes personal data on the Customer’s behalf. The Customer remains responsible for its instructions, collection notices, record accuracy, retention choices and responses to people whose information it controls.
9. Third-party services
A Customer may choose to connect services such as Stripe, Xero, Microsoft, Twilio, Google, Meta, AWS-supported email delivery or a domain and hosting provider. The Customer authorises the exchange of information required for that connection and is responsible for its provider account, licences, configuration and fees unless the order states otherwise.
Third-party services have their own terms and privacy practices. CleaningCentral is not responsible for a third party’s independent acts, but remains responsible for its own obligations and for subprocessors it appoints as required by applicable law.
10. Fees, taxes and usage
The Customer must pay the amounts, currency and billing frequency shown before purchase. Prices exclude taxes unless expressly stated otherwise. Applicable GST, VAT, sales tax or similar tax is added or handled as required by law.
SMS, email sends, storage, websites and other add-ons or usage may be priced separately. A chargeable overage or automatic top-up requires the authority and spending cap shown in the product. Usage records are measured by the applicable service unit, such as an SMS segment, email recipient or storage block.
11. Renewal, cancellation and refunds
Paid subscriptions renew for the selected monthly or annual period until cancelled. Cancellation takes effect at the end of the current paid term unless the order, a fixed-term add-on or mandatory law states otherwise. The Billing Policy gives the operational details.
Payments are non-refundable for change of mind to the extent permitted by law. This does not limit rights to a refund, repair, re-performance, price reduction or cancellation under mandatory consumer, digital-service or unfair-contract law.
12. Suspension and payment failure
We may restrict writes, sending, publishing or access where payment remains overdue, a security risk exists, use is unlawful, provider integrity is threatened or the Customer materially breaches the agreement. Where practical and lawful, we will give notice and an opportunity to remedy. Urgent protective action may occur first.
Suspension does not remove payment obligations already incurred. We will restore the affected service after the reason is resolved, subject to technical and legal requirements.
13. Intellectual property
CleaningCentral and its licensors own the service, software, documentation, designs, templates and associated intellectual property, excluding customer content. The Customer receives a limited, non-exclusive, non-transferable right to use the service during the applicable trial or paid term.
Feedback may be used to improve the service without an obligation to pay, provided we do not identify the Customer publicly without permission.
14. Confidentiality
Each party must protect the other party’s non-public business, technical and security information using reasonable care and use it only for the agreement. This does not apply to information lawfully known without restriction, independently developed, publicly available without breach or required to be disclosed by law. Where legally permitted, the receiving party will give advance notice of a compelled disclosure.
15. Warranties and mandatory rights
We warrant that we will provide the service with reasonable care and skill and materially in accordance with the released documentation. We do not promise uninterrupted operation, that every third-party provider will remain available, or that the service replaces professional accounting, payroll, employment, privacy or legal advice.
Nothing in these Terms excludes a guarantee, warranty, remedy or liability that cannot lawfully be excluded, including applicable Australian Consumer Law, New Zealand consumer law, US state law, UK law or EU Member State law. Where a non-excludable guarantee permits limitation, our liability is limited, at our option, to re-supplying the service or paying the reasonable cost of re-supply.
16. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or lost profits, revenue, goodwill or anticipated savings, except where the loss cannot lawfully be excluded.
Subject to the exclusions below, each party’s total aggregate liability arising from the service in a 12-month period is limited to the fees paid or payable for the affected service during that period. The cap does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality, infringement of the other party’s intellectual property, a party’s data-protection liability to the extent a cap is prohibited, or payment obligations.
17. Indemnity
The Customer will indemnify CleaningCentral against a third-party claim arising from unlawful customer content, the Customer’s infringement of third-party rights or the Customer’s material breach of the Acceptable Use Policy, except to the extent caused by CleaningCentral. The indemnified party must give prompt notice, reasonable cooperation and control of the defence, and no settlement may admit fault or impose a non-monetary obligation without consent.
18. Ending the agreement and data return
Either party may end the agreement for an uncured material breach after reasonable written notice, or immediately where the breach cannot be cured, insolvency law permits termination, or continued service would be unlawful.
Before access ends, the Customer should export required data using available tools. After termination, we delete or return customer content under the order, Data Processing Addendum, displayed deletion schedule and legal retention duties. Sections intended to survive termination remain effective.
19. Governing law and disputes
The parties should first contact each other and try in good faith to resolve a dispute. Notices to CleaningCentral may be sent to contact@cleaningcentral.net.
Unless mandatory law requires otherwise, the agreement is governed by the laws of New South Wales, Australia, and the courts of New South Wales have non-exclusive jurisdiction. This choice does not remove mandatory rights or access to a regulator, small-claims body or court available under applicable consumer or privacy law.
20. General
Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations, and the affected party must take reasonable steps to reduce the effect. The Customer may not assign the agreement without consent, not to be unreasonably withheld; we may assign it as part of a genuine restructure or sale if the assignee assumes our obligations.
If a term is unenforceable, it is adjusted only as much as needed and the rest remains effective. Failure to enforce a term is not a waiver. Electronic acceptance, notices and records may be used where lawful.
